Special Terms and Conditions for Cobuilder Connect

This version of the Connect T&C applies from 1 April 2025 for new clients and from 1 May 2025 for existing clients.

1. PURPOSE

These Special Terms and Conditions for Cobuilder Connect (hereinafter referred to as the “Connect T&C”) apply to customers/ Authorized End Users who use the Cobuilder Connect product (hereinafter referred to as the “SYSTEM”). Customers accept the Connect T&C in additional to accepting the General T&C. Should a discrepancy occur between the provisions of the General T&C and the Connect T&C, the provisions of the Connect T&C prevail.

For matters not explicitly covered in the Connect T&C, the General T&C apply.

Capitalized items as used in the Connect T&C, unless specifically defined otherwise, have the meaning attached to them in the General T&C.

2. ABOUT THE SYSTEM

Cobuilder Connect is a service that enables the Customer to automatically distribute Safety Data Sheets, Declarations of Performance, Installation Guides, Environmental Product Declarations, and other product documentation and data (individually and cumulatively “Product Documentation”) to the Cobuilder Platform. This distribution is facilitated through an integration between the Customer’s ERP system and the Cobuilder Platform.

For the Customer using Cobuilder Collaborate the delivery of Product Documentation can be allocated to specific projects.

For customers without subscription to Cobuilder Collaborate the Product Documentation becomes available in Cobuilder Free.

3. CUSTOMER’S OBLIGATIONS

The Customer must deliver and distribute their Product Documentation in the format at any given time required by Cobuilder. The current format description for the Product Documentation is attached as Appendix 1.

Each Customer is themselves responsible for verifying their Product Documentation for errors and omissions before delivering it to Cobuilder.

Product owners (manufacturers, importers and distributors to the Customer) who have entered into Supply and Supply SDS are themselves responsible for providing Product Documentation to the Cobuilder platform that the Customer then delivers and distributes to clients of the Platform.

The Customer is responsible for the delivery, use and distribution of Product Documentation from product owners (manufacturers, importers and distributors) who have NOT entered into Supply and Supply SDS Agreement for providing the Product Documentation directly to the Cobuilder platform.

To ensure that the correct product information is delivered through the SYSTEM, it is essential that the relevant products in the Customer’s registered product range (“Product List”) are uniquely identified.

Unless otherwise agreed with Cobuilder, the Customer must establish a routine for delivering updated Product Lists at least every three months.

Unless otherwise agreed, the Customer must use the current format description for the Product List as specified at any given time on the Cobuilder Supply website.

As an additional service, the Customer may request Cobuilder to provide a completed setup for the Product List, which the Customer can then fill out and return to Cobuilder. The performance of such additional services does not waive the responsibility for the verification of the Product List for errors and omissions by the Customer.

If the Customer uses information included in the Product List that others hold rights to, the Customer shall indemnify Cobuilder against any claims directed at Cobuilder and correct such product range (Product List) immediately upon request.

The Customer is responsible for ensuring that all data entered in the Product List by it or by Cobuilder upon its authorizations is correct and that the data or its entry do not infringe third-party intellectual property rights. This obligation applies to all use of Cobuilder CONNECT.

4. PRICE FOR USE AND SUPPORT

The setup, use of the SYSTEM, and support beyond the initial setup are invoiced according to the price list in effect at any given time. You can find more information at https://cobuilder.com/en/cobuilder-connect/

5. Authorization and Confirmation of Obligation to Submit

By accepting the Connect T&C, the Customer gives Cobuilder the authorization on its behalf to obtain Product documentation from manufacturers, importers and/or distributors, and to act on Customer’s behalf as the reception point for Product Documentation.

Тhe Customer warrants and represents to Cobuilder that manufacturers, importers and/or distributors, which supply chemicals or solid products to the Customer have complied with current regulatory requirements regarding the provision of Product Documentation.

APPENDIX 1: Format Description for PRODUCT LIST Wholesaler

The distribution of product documentation via Cobuilder Connect is based on the PRODUCT LIST of each contracting Party. To ensure that the correct documentation is delivered through Cobuilder’s systems, it is essential that the relevant products included in each contracting Party’s PRODUCT LIST are uniquely identified.

The contracting Party must establish a routine for submitting an updated PRODUCT LIST at least every three months, unless otherwise agreed with Cobuilder.

Unless otherwise agreed, Cobuilder will provide a preconfigured PRODUCT LIST template to the contracting party, which must then be completed and returned to Cobuilder.

* To uniquely identify the products provided in the PRODUCT LIST, Cobuilder requires that at least two of these fields are completed. Which fields to use must be agreed upon with each contracting party before the PRODUCT LIST is distributed to Cobuilder.
