Special Terms and Conditions for Define

This version of the Define T&C applies from 1 April 2025 for new clients and from 1 May 2025 for existing clients.

1. PURPOSE

These Special Terms and Conditions for Define (hereinafter referred to as the “Define T&C”) apply to Customers/ End Users who use the Define product (hereinafter referred to as the SYSTEM). Customers accept the Define T&C in addition to accepting the General T&C. Should a discrepancy occur between the provisions of the General T&C and the Define T&C, the provisions of the Define T&C prevail.

For matters not explicitly covered in the Define T&C, the General T&C apply.

Capitalized items as used in the Define T&C, unless specifically defined otherwise, have the meaning attached to them in the General T&C.

2. ABOUT THE SYSTEM

Define allows Customers to author, manage and share Data Templates within a common data dictionary framework.

Data Templates are used to communicate quality information about building elements, materials, products, systems etc. through digital means across the entire value chain.

The use of a data dictionary enables Customer to create and implement a common digital language allowing to describe construction objects. A digital language also means a machine-readable language that provides interoperability between systems and solutions.

3. CUSTOMER’S OBLIGATIONS

3.1. Own data dictionary

The Customer has ownership rights of its Customer Data (Data dictionary and the Data Templates that are part of it).

Cobuilder shall not provide data uploaded in Define by the Customer to other customers and Authorized End Users.

3.2. Appointed parties

When using Define, you may be invited by an Appointing Party (dictionary owner) to contribute content to a designated dictionary. By accepting such an invitation, you acknowledge and agree that any intellectual property rights (IPR) or royalties associated with the content you are providing in Define will be owned by the Appointing party (data dictionary owner) that invited you. You are not entitled to any IPR or royalties unless expressly agreed upon in writing.

3.3. Workgroups

Workgroup Members, defined as end-users invited to contribute to a dictionary within Define, hereby acknowledge and agree that any content, data, or information created, submitted, or contributed to data dictionaries as part of collaborative efforts or workgroup activities shall be owned exclusively by Cobuilder and its licensors. Workgroup Members expressly agree that they shall have no ownership, intellectual property rights, or proprietary rights over the content they create or submit within Define workgroup activities. All rights, including but not limited to copyright, patent, trade secret, and any other intellectual property rights related to the workgroup contributions, shall vest solely in Cobuilder and its licensors. By participating in workgroup activities within Define, Workgroup Members grant Cobuilder a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, distribute, display, and perform the workgroup contributions for the purposes of providing and improving Define. Workgroup Members further agree not to assert any claims of ownership, intellectual property rights, or proprietary rights over the workgroup contributions and hereby waive any such claims to the fullest extent permitted by law. This clause is binding on all Workgroup Members participating in collaborative activities within Define.

The Customer shall not grant third parties any rights to use, reproduce, create derivative works of, distribute, publicly perform, or publicly display the Data Template or parts of it.
